Terms and Conditions
Last updated 22 October 2026
These terms apply to every quotation issued and every order accepted by Uniq Exports LLC, a limited liability company registered in Wyoming, United States, with its registered address at 30 N Gould St Ste R, Sheridan, WY 82801, United States ("we", "us"). The person or business placing the order is the "Buyer". Where a signed order confirmation contains different terms, the order confirmation prevails.
1. Scope of service
We source goods from third party manufacturers, arrange sampling, monitor production, arrange inspection, prepare export documentation and arrange shipment as set out in each order confirmation. We sell the goods to the Buyer as principal. We are not the manufacturer of the goods.
2. Quotations and validity
Quotations are based on the specification, quantity, Incoterm and destination stated in them. Unless stated otherwise, a quotation is valid for 14 days. Prices may be revised before order confirmation if raw material costs, exchange rates or freight rates change materially, or if the specification changes.
3. Order confirmation
A contract is formed only when we issue a written order confirmation and the Buyer accepts it in writing or pays the deposit stated in it. The order confirmation records the agreed specification, approved sample reference, quantity, price, currency, Incoterm, payment terms and estimated shipping date.
4. Samples
Sample and courier costs are quoted before sampling. Whether a sample cost is credited against a later order is confirmed in writing at the time. The approved sample, together with the written specification, is the reference standard for inspection.
5. Payment terms
Payment terms are agreed in writing before production starts. We accept payment by telegraphic transfer or by irrevocable letter of credit issued or confirmed by a bank acceptable to us. Bank charges are borne by the party incurring them unless agreed otherwise. We may suspend production or shipment while any amount due is unpaid. Our bank details will only be provided on our own documents; the Buyer should verify any apparent change by telephone before paying.
6. Title and risk
Risk in the goods passes to the Buyer in accordance with the Incoterm (Incoterms 2020) stated in the order confirmation. Title to the goods passes to the Buyer only when we have received payment in full for them.
7. Inspection and acceptance
We arrange inspection of the goods before shipment against the approved sample and specification, and share the results with the Buyer before the balance becomes due. The Buyer may attend or appoint its own inspector at its own cost. After arrival, the Buyer must inspect the goods and notify any claim within the period set out in our Shipping and Returns policy. Goods not subject to a claim within that period are deemed accepted.
8. Non conforming goods
Where goods do not conform to the approved sample or specification and the claim is made in time, we will at our option arrange rework, replacement or a credit or refund of the price of the non conforming goods. This is the Buyer's sole remedy for non conformity.
9. Buyer responsibilities
The Buyer is responsible for ensuring that the specification, labelling and artwork it supplies comply with the laws of the destination market, for import clearance and duties unless the Incoterm provides otherwise, and for any intellectual property in designs, logos or artwork it supplies.
10. Limitation of liability
Our total liability under or in connection with any order is limited to the price paid for the goods to which the claim relates. We are not liable for loss of profit, loss of business, loss of goodwill or any indirect or consequential loss. Nothing in these terms limits liability that cannot lawfully be limited.
11. Force majeure
Neither party is liable for delay or failure caused by events beyond its reasonable control, including natural disasters, epidemics, government action, port closures, carrier failure or war. Payment obligations for goods already delivered are not suspended.
12. Governing law
These terms and any contract under them are governed by the laws of the State of Wyoming, United States. The courts of the State of Wyoming have exclusive jurisdiction, without prejudice to our right to bring proceedings where the Buyer is based. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
